Letter of Appointment – SUPER Brand Ambassador

Super Mushrooms is pleased to formally appoint you as a Brand Ambassador, effective immediately after completing registration. This appointment recognises your ability to positively influence our target markets and aligns with our mission to promote wellness and vitality.

1. Role and Responsibilities

As a Brand Ambassador, you agree to:

• Represent and promote the Super Mushrooms brand, products and ethos in a professional and authentic manner.
• Create awareness, generate interest and drive sales through your areas of influence.
• Social media platforms (Instagram, Facebook, TikTok, YouTube, etc.)
• In-person engagements, events and wellness gatherings
• Online communities and interest groups relevant to health and wellness
• Adhere to all brand guidelines and refrain from making any unauthorised claims, medical statements or representations that are not approved by Super Mushrooms.
• Conduct yourself in a manner that upholds and protects the reputation and integrity of the brand.

2. Commission Structure & Payments

As part of this appointment, you will be entitled to commissions on verified sales attributable to your efforts:

Direct Sales (Card Machine Transactions):

• 16% commission on all direct sales made via card machine under your ambassador profile.

Online Sales (Referral Code):

• 10% commission on all verified sales made via the Super Mushrooms website using your unique referral code.

Payment Terms:

• Commissions are calculated monthly and paid via Electronic Funds Transfer (EFT) within 14 business days after month-end, subject to reconciliation.
• All sales must be verifiable via company systems to qualify for commission.
• In the event of product returns or refunds after commission has been paid, the relevant amount will be deducted from the next commission cycle.

3. Tax and Statutory Obligations

• This appointment is on an independent contractor basis. You are not an employee of Super Mushrooms.
• You are solely responsible for declaring and paying your own taxes and statutory obligations (including those required by SARS).
• Super Mushrooms bears no liability for your personal tax or compliance matters.

4. Responsible Use of Company Property

• Any property, tools, equipment or promotional materials provided by Super Mushrooms remain the property of the company.
• You are responsible for their careful and responsible use, ensuring they are not damaged, misused, loaned or sold. All and any property damaged (unless out of your control), will be for the cost of the brand ambassador.
• All company property must be returned in good condition upon termination of this agreement.

5. Onboarding & Product Knowledge

• As part of this appointment, you are required to complete a Brand Ambassador Onboarding Program provided by Super Mushrooms.
• The program includes training on company values, product knowledge, brand guidelines and compliance requirements.
• A product knowledge test will be conducted and successful completion is a mandatory condition to actively represent the Super Mushrooms brand and qualify for commission.

6. Confidentiality & Intellectual Property

• All company information, strategies, pricing and materials provided to you are considered confidential. Such information may not be disclosed or shared without written approval.
• All intellectual property, trademarks, marketing content, product images and materials remain the exclusive property of Super Mushrooms.
• On termination of this agreement, you must return all company materials in your possession.

7. Brand Misuse & Conduct

• You are strictly prohibited from making unauthorised claims, altering product messaging or engaging in any conduct that may mislead customers, misrepresent the brand or damage the company’s reputation.
• Misuse of brand assets, breach of guidelines or misconduct (including offensive or inappropriate public behaviour) will result in immediate termination of this appointment.

8. Termination

• Either party may terminate this appointment by giving 30 days’ written notice.
• Super Mushrooms reserves the right to terminate this agreement with immediate effect in cases of:
• Misconduct or reputational harm
• Breach of brand guidelines or confidentiality
• Fraud, misrepresentation or misuse of company systems or property

9. Acknowledgement & Acceptance

By registering for our affiliate program, you acknowledge and accept this appointment and agree to abide by the terms and conditions set out in this agreement.
